Terms & Conditions

1.The terms and conditions set out below shall apply to any quotation, tender or  acceptance or order made or given to DIGITAL IMAGES Ltd. and no addition thereto or variation therefrom shall apply unless specifically agreed between the parties in writing.

2.ACCEPTANCE

Unless previously agreed or otherwise specified by DIGITAL IMAGES Ltd in writing all quotations and tenders are open for acceptance by the customer within 30 days from the date on which they are made. All orders placed with DIGITAL IMAGES Ltd require customers order reference numbers and agreed costs between the two parties.

3.TERMS OF PAYMENT

a) New business customers are required to pay 50% with first order, balance of all monies due to be paid on delivery. Account facilities to be agreed between DIGITAL IMAGES Ltd and the customer, DIGITAL IMAGES Ltd reserve the right to cancel any account facilities at the managements discretion. 

b) Payment is due on the 25th day of the month following the submission of invoice.

c) Time of payment shall be of the essence of contract and DiGiTaL IMAGES Ltd. shall be entitled to charge interest at the rate of 3 per cent per annum above base lending rate of DIGITAL IMAGES Ltd bankers current from time to time on all or any overdue accounts and DIGITAL IMAGES Ltd reserves the right to postpone fulfillment of its own obligations or suspend work until such overdue payment is made.

4. PRICES AND QUOTATIONS

a) Any quotation or price quoted in DIGITAL IMAGES Ltd price lists or other publications and literature are subject to alteration without notice.

b) Prices quoted are net inclusive of packaging and carriage by DIGITAL IMAGES Ltd delivery vehicles, but DIGITAL IMAGES Ltd reserves the right to charge carriage in the event that special arrangements are necessary or extra delivery is requested.

5. DELIVERY

Dates quoted by DIGITAL IMAGES Ltd for delivery are subject to confirmation at the time any order is acknowledged. DIGITAL IMAGES Ltd, whilst making every effort to effect prompt delivery, will not be liable for loss or damage occasioned by delay in delivery howsoever caused, and any delivery dates quoted are given subject to this condition. Delay in delivery or despatch shall not render the contract subject to cancellation by the customer.

6. RISK

Risk shall pass to the customer on delivery to the customer or its agents or any carrier acting for the customer. Customers property, when supplied, will be held entirely at the customer risk as regards fire or other unforeseen damage or loss. Every care will be taken to get the best results when materials are supplied by customers, but responsibility will not be accepted for imperfect work caused by defects in any unsuitability of materials so supplied.

7. Authors Alterations

Authors alterations on or before proof, including alterations in style, will be charged extra, ad valorem.

No responsibility will be accepted for errors in proof passed by the customer, or any work undertaken of checked on behalf of the customer.

8. CHECKING AND DEFECTS

Every care is taken in the production of artworks, printed material and other material BUT these must be carefully checked by the customer to make sure that they comply with the customers requirements. Any complaint as to defects must be notified to DIGITAL IMAGES Ltd. within five working days of the actual date of delivery. In the event of an error being made, and such error being notified as required by this clause DIGITAL IMAGES Ltd will replace or correct the goods supplied free of charge BUT in no circumstances shall DIGITAL IMAGES Ltd liability for loss or damage arising exceed the cost of replacement of correction.

9. FORCE MAJEURE

DIGITAL IMAGES Ltd shall be excused liability if performance of the agreement is prevented or hindered by any cause beyond its control and in particular but without prejudice to the generality  of the foregoing by act of God, war, government control, restrictions or prohibitions or any other government act or omission whether local or national, fire, flood, accident, strike or lock out, and shall not be liable for any loss or damage resulting from any such circumstances.

10. Rough Drawings

Quotations are only given on sight of finished drawings. If rough sketches only are available, the price given can only be an estimate and work received on this basis is only accepted on the understanding that the price is not binding.

11. WARRANTY CLAUSE

DIGITAL IMAGES Ltd shall not be bound by any warranty or condition not expressly specified in these conditions nor by any verbal promise or representations made or purporting to be made by DIGITAL IMAGES Ltd agents or servants.

12. COPYRIGHT AND REPRODUCTION OF ORIGINALS

Orders for the reproduction of originals are accepted on the understanding that the customer has secured all legal rights, and that the customer indemnifies DIGITAL IMAGES Ltd for all liability consequent on the reproduction thereof.

13. WARRANTY

The customer warrants to DIGITAL IMAGES Ltd that all material submitted for publication will be in no way whatsoever a violation of any existing copyright and will contain nothing of an illegal libelous or scandalous character.

DIGITAL IMAGES Ltd shall not be required to reproduce any copy which in its opinion is or may be illegal or libelous or scandalous.
